Das IASB reagierte am 31.03.2004 auf diese Entwicklung, indem sie IAS 22 „Business Combinations“ ersetzte und IFRS 3 „Business Combinations“ verabschiedete. Dieser neue Standard veränderte die bilanzielle Abbildung von Unternehmenszusammenschlüssen von großem Ausmaß, war aber zugleich ein weiterer
Schritt zu einer marktwertorientierten Bilanzierung.1

Grundkonzeption des IFRS 3 ist die Erwerbesmethode. Danach ist in einem ersten Schritt zu klären, wer der Erwerber und wer das erworbene Unternehmen im Rahmen eines Unternehmenszusammenschlusses darstellt. In einem nächsten Schritt, ist der Kaufpreis zu ermitteln. Der wichtigste Schritt ist die Vornahme einer sogenannten Kaufpreisallokation, die den Kaufpreis auf die einzelnen Vermögenswerte und Schulden aufteilt. Dabei steht die Identifizierung von bislang nicht bilanzierten und bereits bilanzierten immateriellen Vermögenswerten beim erworbenen Unternehmen im
Mittelpunkt der praktischen Abwicklung.2

In der Vergangenheit kam der Abgrenzung von immateriellen Vermögenswerten vom Goodwill bei einem Unternehmenserwerb keine Große Bedeutung zu. Vielmehr gingen diese, ohne eine gesonderte Ansatzprüfung vorzunehmen, in den Goodwill ein.3 Da IFRS 3 aber keine planmäßige Abschreibung des Goodwills mehr vorsieht, brächte ein Festhalten dieser Vorgehensweise erhebliche Probleme mit sich. Zum einen würde sich die Darstellung der Ertragslage stark verzerren und zum anderen stiege die Gefahr einer außerplanmäßigen Abschreibung des Goodwills, da dieser dann auch verstärkt aus planmäßig abzuschreibender immaterieller Vermögenswerte bestehen würde.4

Zusätzlich kommt es bei IFRS 3 zu weiteren Problembereichen, wie z.B. der unscharf definierte Anwendungsbereich des Standards oder die Goodwillbilanzierung. Diese Problembereiche und auch Inkonsistenzen innerhalb der Ansatzkriterien oder Bewertungsregeln für Vermögenswerte und Schulden werden im Rahmen des Business Combinations Projekt Phase II diskutiert, welches kurz vor der Verabschiedung steht.5
