Der Errichtung einer stillen Gesellschaft können dabei eine Vielzahl verschiedener Motive zugrunde liegen. Vor allem die typisch stille Beteiligung bietet nicht unbeachtliche steuerliche Vorteile. Ein weiteres Motiv ist die Zuführung von Kapital, ohne die GmbH in wirtschaftlich schwierigen Zeiten zu stark zu belasten, da der Stille am laufenden Gewinn beteiligt ist. Gleichzeitig wird das Haftungskapital der GmbH minimiert.

Die GmbH & Still kann in typischer und in atypischer Form gestaltet werden. Zivilrechtlich hat diese Unterscheidung keine weiteren Auswirkungen, jedoch spielt sie bei der steuerlichen Behandlung eine entscheidende Rolle. Deshalb werden im 2. Kapitel über die gesellschaftsrechtlichen Verhältnisse oft Punkte angesprochen, die steuerlich nur insoweit von Interesse sind, als sie dazu beitragen, eine Klassifizierung in „typisch“ oder „atypisch“ vorzunehmen. Dazu gehört z.B. das Kapitel über das Kontrollrecht des Stillen. Eine genauere Abgrenzung der beiden Formen der stillen Gesellschaft wird aus dem genannten Grund erst im Kapitel über die steuerliche Behandlung der GmbH & Still vorgenommen.

Die steuerliche Anerkennung der GmbH & Still erfordert, dass diese vorher wirksam zivilrechtlich zustande gekommen ist. Deshalb steht in dieser Arbeit vor der Darstellung der steuerlichen Zusammenhänge die Erörterung der gesellschaftsrechtlichen Verhältnisse in Bezug auf die GmbH & Still. Dabei wird zum besseren Verständnis der GmbH & Still auch auf die verschiedenen Gestaltungsmöglichkeiten durch den Gesellschaftsvertrag eingegangen werden.

Das Kapitel über die steuerliche Behandlung der GmbH & Still beginnt mit der im steuerrecht grundlegenden Erläuterung und Abgrenzung der GmbH & typisch Still und der GmbH & atypisch Still. Die Besteuerung der GmbH & Still wird danach getrennt nach typischer und atypischer Variante behandelt, wobei ich mich auf die Darstellung der periodischen Ertragssteuern beschränke.
